Overview

Welcome to Tai Chi Learn. These Terms of Service ("Terms") govern your access to and use of the Tai Chi Learn website and the online video courses, content, and subscription services we provide (collectively, the "Service"). The Service allows you to stream and, where applicable, download online Tai Chi and Qigong video lessons.

By accessing or using our Site, or by purchasing a subscription or one-time product, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. Please read these Terms carefully.

Account Registration

To purchase a subscription or access our courses, you must create an account by signing in with your email address. You represent and warrant that all information you provide is accurate and complete. You are solely responsible for maintaining the confidentiality of your account and credentials, and for all activity that occurs under your account. You must notify us immediately if you suspect any unauthorized access to or use of your account.

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to create an account and use the Service. By creating an account, you represent that you meet this requirement.

Privacy

Our practices concerning the collection, use, and disclosure of your personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.

Subscriptions and Payments

General. To purchase a subscription or a one-time product, you must provide a valid payment method. All payments are processed by our third-party payment provider, Creem. Your payment information is provided directly to Creem and is subject to Creem's privacy and security practices.

Monthly Subscription. Our monthly plan is billed at USD $29.9 per month. This subscription automatically renews each month at the same rate until you cancel. You agree to pay the applicable monthly fee, and your payment method will be charged at the beginning of each billing period.

Annual Subscription. Our annual plan is billed at USD $99 per year. This subscription automatically renews each year at the same rate until you cancel. You agree to pay the applicable annual fee, and your payment method will be charged at the beginning of each billing period.

Lifetime Access Subscription. Our lifetime access plan is a one-time purchase of USD $168. This is a single, one-time payment and does not automatically renew.

Cancellation. You may cancel a recurring subscription at any time by logging into your account and following the cancellation instructions, or by contacting us. Cancellation takes effect at the end of the current billing period. You will continue to have access to the Service until the end of the period you have already paid for. You are not entitled to a refund for any portion of a billing period already paid.

Refunds

Monthly Subscription. Subscription fees are non-refundable. Monthly fees already charged will not be refunded.

Annual and Lifetime Access Subscriptions. Annual and lifetime access plans allow you to download videos, and downloading is permitted after purchase. Because downloaded content remains yours once it has been downloaded, annual and lifetime access subscription fees are final and non-refundable. All purchases are final and non-refundable except as expressly set forth in this section.

License to Content and Intellectual Property

Subject to the terms of this Agreement and your payment, we grant you a limited, non-exclusive, non-transferable, revocable license to access and, where applicable, download the video lessons and other content made available through the Service ("Content") for your personal, non-commercial use only.

Unless you hold an annual or lifetime access subscription that permits downloading, you may only stream Content while you have an active subscription. You may not resell, redistribute, retransmit, publicly perform or display, or create derivative works from any Content. All Content, including videos, graphics, text, and our trademarks and logos, is the property of Tai Chi Learn or our licensors and is protected by applicable intellectual property laws. All rights not expressly granted in these Terms are reserved by us.

Acceptable Use

You agree not to, and not to attempt to, do any of the following in connection with the Service:

- Scrape, reproduce, redistribute, sell, or create derivative works from the Service or any part thereof;

- Circumvent any technical or digital rights management measures we may employ;

- Interfere with or damage the operation of the Service;

- Share, resell, or provide access to your account or the Content to any third party;

- Use the Service for any unlawful, fraudulent, or misleading purpose;

- Download videos unless you hold an annual or lifetime access subscription that permits downloading;

- Collect personal information about other users.

Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

NOT MEDICAL ADVICE. The content provided through the Service is for informational and educational purposes only and does not constitute medical, health, or professional advice. Tai Chi and Qigong involve physical activity. You exercise and participate at your own risk. Before beginning any new exercise routine, you should consult a qualified healthcare professional, particularly if you have any medical condition or injury.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNTS YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Tai Chi Learn and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and costs, including reasonable attorneys' fees, arising out of or in connection with your breach of these Terms or your use of the Service.

Termination

You may terminate your account at any time by canceling your subscription or contacting us. We reserve the right to suspend or terminate your account and access to the Service at any time, without notice, if you breach these Terms or engage in any unauthorized activity, including unauthorized sharing or distribution of Content.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of [State], without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Service shall be resolved through binding arbitration or in the courts of [State], as determined by us.

Changes to These Terms

We may update, change, or replace these Terms from time to time by posting the updated Terms on our website. Your continued use of the Service after any changes are posted constitutes acceptance of those changes. It is your responsibility to review these Terms periodically.
